| | Crescent Resources Corp. (CRC/TSX.V) announces that it proposes to raise up to $1,500,000 by way of a non-brokered private placement through the issuance of up to 15,000,000 units at a price of $0.10 per unit (the "Unit"). Each Unit will consist of one common share and one half of one common share purchase warrant, with each whole warrant entitling the holder to purchase one additional common share in the capital of the Company at a price of $0.15 for one year from closing of the private placement. The Company may pay a finder's fee as allowed under the TSX Venture Exchange policies. The private placement is subject to compliance with applicable securities laws and to receipt of regulatory approval.
Proceeds of this private placement will be used for exploration work on Crescent's Rattlesnake Hills Properties, Wyoming as well as general corporate purposes.

Crescent is a junior exploration company currently focused on exploring and developing the Rattlesnake Hills North Project in Wyoming.
